Transcre8.io is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the “Terms”). Your use of Transcre8.io constitutes your agreement to all such terms. Please read these terms carefully, and keep a copy of them for your reference.

We display our services to provide translation, localization, transcreation, copywriting, design, marketing, and publication services to private/public companies, authors, and more.

Electronic Communications

Visiting transcre8.io or sending emails to Transcre8 constitutes electronic communications. You

consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing or in form reproducible in writing

Transcre8 does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use transcre8.io only with the permission of a parent or guardian.

Links to third-party sites/Third-party services

Transcre8 may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of Transcre8 OÜ, and Transcre8 is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. If applicable, Transcre8 is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Transcre8 of the site or any association with its operators.

No unlawful or prohibited use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use the Site and the digital content offered through it strictly in accordance with these Terms and Estonian copyright law. Ownership of the Site and all digital content remains with Transcre8 or its suppliers; no ownership rights are transferred.

All content included as part of the Service, such as text, graphics, logos, images, compilations, and any software used on the Site, as well as all digital content made available for download, is the property of Transcre8 or its suppliers and is protected by copyright and other intellectual property laws. You agree to observe and abide by all copyright and other proprietary notices, legends, or restrictions contained in such content.

Digital content may be downloaded once and copied onto your own end devices for exclusively personal use. Further downloads (re-downloads) may be enabled where possible, but there is no entitlement to them. Transcre8 may change, interrupt, or discontinue download functionality at any time, temporarily or permanently, and may delete individual digital content from your customer account (if such an account exists) for good cause, particularly in the event of rights disputes. This right of deletion does not apply to content already stored separately on your devices (e.g., PC or e-reader).

You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or otherwise exploit any part of the site or digital content, whether in whole or in part. In particular, you may not copy digital content for third parties, make it publicly accessible, forward it, post it on the Internet or other networks (whether for payment or free of charge), imitate it, print it, resell it, or use it for commercial purposes.

Digital content may be individually marked with digital watermarks to identify the original purchaser in case of misuse and may be protected against unlawful copying via Adobe Digital Rights Management (DRM). Use of DRM-protected content is only possible with the respective Adobe ID stored on your end device(s).

Your use of the Site and its content does not entitle you to make unauthorized use of any protected material. In particular, you may not delete or alter any proprietary rights or attribution notices. Protected content may be used solely for your personal purposes and in no other manner without the express written permission of Transcre8 OÜ and the copyright owner. No licenses, express or implied, are granted beyond those expressly authorized by these Terms.

Under no circumstances may the Site content, including texts, works, or other legally protected material, be translated in substantial parts or in their entirety, nor may such content or any translations thereof be published or otherwise made available to third parties.

Any translation of content in part or in whole may only be used for your own private and exclusively personal purposes. Any other use is prohibited and strictly forbidden.

 

Indemnification

You agree to indemnify, defend and hold harmless Transcre8 OÜ, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. Transcre8 reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with Transcre8 in asserting any available defences.

 

Liability Disclaimer

The information, software, products, and services included in or available through the site may include inaccuracies or typographical errors. Changes are periodically added to the information herein. Transcre8 and/or its suppliers may make improvements and/or changes to the site at any time.

Transcre8 and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. Transcre8 and/or its suppliers hereby disclaim all warranties and conditions regarding this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement. For the avoidance of doubt, the above disclaimers apply only to the use of the site and its content. Any services purchased under a signed agreement with Transcre8 will be performed with a reasonable standard of care and skill as required by applicable law, and nothing in these disclaimers shall exclude or limit any obligations or liabilities that cannot lawfully be disclaimed.

To the maximum extent permitted by applicable law, in no event shall Transcre8 and/or its suppliers be liable for any direct, indirect, punitive, incidental, special, consequential damages, or any damages whatsoever, including, without limitation, damages for loss of use, data, or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services, and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability, or otherwise, even if Transcre8 or any of its suppliers has been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the site.

Termination/Access Restriction

Transcre8 OÜ reserves the right, at its sole discretion, to suspend or terminate your access to the Site and its online functionalities where there is due cause, including but not limited to a breach of these Terms of Use or applicable law. In such cases, reasonable notice will be given where practicable. For the avoidance of doubt, this provision applies solely to access to the site and its functionalities. Any separate services purchased under a signed agreement with Transcre8 are governed by the terms of the relevant service agreement. To the maximum extent permitted by law, this agreement is governed by the laws of Estonia, and you hereby consent to the exclusive jurisdiction and venue of courts in Estonia in all disputes arising out of or relating to the use of the site. Use of the site is unauthorized in any jurisdiction that does not give effect to all provisions of these terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and Transcre8 as a result of the use of the site. Transcre8’s exercise of its rights is subject to existing laws and legal processes, and nothing contained in this agreement is in derogation of Transcre8’s right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the site or information provided to or gathered by Transcre8 with respect to such use. If any part of these terms is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the terms shall continue in effect.

Unless otherwise specified herein, these terms constitute the entire agreement between the user and Transcre8 with respect to the Site.

Changes to Terms

Transcre8 reserves the right, in its sole discretion, to change the terms under which www.transcre8.io is offered. The most current version of the terms will supersede all previous versions. Transcre8 OÜ encourages you to periodically review the Terms to stay informed of our updates.

1. General Information

2. Overview of Services

Transcre8 offers professional services in translation, localization, transcreation, marketing, and publishing. Each project is tailored to the client’s needs and defined through a specific agreement.

 

3. Payment Details

Payment Methods: Credit card, bank transfer, PayPal, etc.

Payment Platforms: Stripe, Klarna, or other secure platforms, as applicable.

Payment Structure:

• One-Time Payment Option: A 30% deposit is required upon contract signing, with the remaining amount due upon delivery of the final manuscript.

• Instalment Plan: If an instalment plan is agreed upon, payments are made according to the schedule defined in the signed contract (e.g., monthly payments, fixed milestones).

 

4. Initial Charges and Fees

• No setup or administrative fees unless specified in the contract.

• Clients will be invoiced for completed work in the event of project cancellation after commencement.

 

5. Authorization and Consent

By signing the contract, the customer authorizes Transcre8 OÜ to process payments as agreed, including through third-party platforms, and consents to the agreed payment terms and schedule.

 

6. Changes and Modifications

• Payment plans, if agreed upon, are fixed and cannot be modified or extended unless otherwise agreed in writing.

• Clients may request to pay the outstanding balance in full at any time.

• Any modifications to services or payment terms must be confirmed in writing.

 

7. Cancellation and Refund Policy

• Before Project Start: Clients may cancel and request a refund of the deposit if no work has commenced.

After Project Start: Clients remain obliged to pay the full amount under the instalment  plan, which may be cancelled only if the outstanding balance is settled. In any case, the down payment is non-refundable, and if the value of the work performed exceeds the down payment, the user will be invoiced for the difference.

 

8. Late Payments and Defaults

• Late Payment Penalty: The daily late payment rate is 0,083% of the amount not paid on time, calculated on the basis of the last interest rate applied to the European Central Bank’s main refinancing operations before 1 January or 1 July of each year.

• Default Actions: Transcre8 OÜ reserves the right to pursue legal action under Estonian law in cases of non-payment or default.

 

9. Customer Responsibilities

• Ensure that all payment information remains accurate and up to date.

• Notify Transcre8 promptly of any payment issues in writing or via email.

 

10. Dispute Resolution

Transcre8 will first attempt to resolve any disputes directly with the Client.
If unresolved, legal recourse will be taken under Estonian law.

Governing Law: Estonian law

     Jurisdiction: Harju County Court, Estonia. In the case of a consumer, disputes may, at the consumer’s request, be resolved by the courts of the consumer’s place of residence. For these purposes, a consumer is understood to mean a natural person entering into a contract for purposes outside of their trade, business, or professional activity.

11. Taxes​

• “Tax” or “Taxes” refers to all applicable taxes, including but not limited to indirect taxes such as value added tax (VAT), goods and services tax (GST), sales tax, duties, levies, or similar charges imposed by any governmental authority.

• Unless expressly stated otherwise, all fees, prices, and amounts payable to Transcre8 OÜ are exclusive of Taxes.

• If any payment to Transcre8 OÜ is subject to taxes, such taxes will be added to the invoice and collected in full from the customer. This does not reduce the net amount owed for the services rendered.

• The customer is responsible for paying any applicable Taxes and agrees to reimburse and indemnify Transcre8 OÜ for any such taxes, including interest and penalties, incurred as a result of the customer’s failure to pay.

• Any withholding or similar tax obligations on payments made to Transcre8 OÜ are the soleresponsibility of the customer and must be grossed up to ensure that Transcre8 receives the full amount due.

• The customer shall indemnify and hold Transcre8 OÜ harmless against any claims, penalties, or interest arising from non-compliance with withholding or similar tax obligations.
